By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Our robotics kits and hardware products are sold subject to our standard sales terms and warranty policies. Product specifications, availability, and pricing are subject to change without notice.
Our software products, including MRXcode Studio, MRXcode Blocks, and related applications, are licensed (not sold) to you. Each software product may have its own End User License Agreement (EULA) that governs your use of that specific software.
Our curriculum, lesson plans, and educational materials are provided for legitimate educational use. Educators may use these materials in their classrooms, but redistribution or commercial use is prohibited without written permission.
Participation in MrX Robotics competitions, including the X Robotics Challenge (XRC), is subject to official competition rules and guidelines, which are incorporated by reference into these Terms.
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are the exclusive property of MrX Robotics or its licensors and are protected by copyright, trademark, and other intellectual property laws.
"MrX Robotics," "MRX," the MRX logo, "MRXcode," "XRC," and all related names, logos, product and service names, designs, and slogans are trademarks of MrX Robotics. You may not use these marks without our prior written permission.
All content on our Services is protected by copyright. You may not reproduce, distribute, modify, display, or create derivative works from any content without our written permission, except as permitted under fair use provisions for educational purposes.
Our Services may allow you to submit, upload, or share content, including but not limited to code, designs, forum posts, and competition submissions ("User Content").
You retain ownership of your User Content. However, by submitting User Content to our Services, you grant MrX Robotics a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content in connection with our Services.
You are solely responsible for your User Content. You represent and warrant that:

All orders placed through our website or authorized resellers are subject to acceptance by MrX Robotics. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing, or suspected fraud.
All prices are subject to change without notice. We strive to display accurate pricing, but errors may occur. If a product is listed at an incorrect price, we will notify you and give you the option to proceed at the correct price or cancel your order.
Payment must be made in full at the time of purchase unless otherwise agreed in writing. We accept major credit cards, purchase orders from qualified educational institutions, and other payment methods as indicated during checkout.
Shipping times and costs vary based on location and shipping method. Risk of loss transfers to you upon delivery to the carrier. We are not responsible for delays caused by carriers, customs, or other factors beyond our control.

MrX Robotics warrants that our hardware products will be free from defects in materials and workmanship for the period specified in our warranty policy. This warranty does not cover damage from misuse, modification, accidents, or normal wear and tear.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MrX Robotics AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO MrX Robotics IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless MrX Robotics and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us. If a dispute is not resolved within 30 days, either party may proceed with formal dispute resolution.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.
